ACS publishes list of candidates for HOCHTIEF

Madrid, 8.5.2011. Grupo ACS today published its list of candidates for the HOCHTIEF Supervisory Board. ACS will make its proposal for the Supervisory Board election at the general annual shareholders’ meeting on May 12, 2011, where all eight supervisory board members representing the shareholders’ side stand for election for a regular term of five years. ACS is the largest shareholder in HOCHTIEF, with more than 43.1% of the entire share capital of the company. ACS will continue to increase its shareholding in HOCHTIEF with an unchanged mid-term target of reaching a shareholding of just above 50%. Given the changed ownership structure, ACS is striving for an adequate representation on the Supervisory Board. However, ACS’s proposal is a balanced one, since in addition to the four ACS representatives, it also comprises four highly qualified personalities from various industries, which are completely independent of ACS. ACS proposes to elect the following candidates onto the Supervisory Board as shareholder representatives: a. Manfred Wennemer, Member of the Supervisory Board of HOCHTIEF AG, former Chairman of the Board of Continental AG (already represented on the board) b. Abdulla Abdulaziz Turki Al-Subaie, Managing Director and Board Member of Qatar Railways, as the designated representative of Qatar Holding LLC c. Thomas Eichelmann, CEO of ATON GmbH, former CFO of Deutsche Börse AG d. Eggert Voscherau, Chairman of the Supervisory Board of BASF SE, former Vice Chairman of the Management Board of BASF SE e. Marcelino Fernández Verdes, CEO of the Construction, Concessions and Environment and Logistics Areas of ACS (already represented on the board) f. Ángel García Altozano, Corporate General Manager, ACS (already represented on the board) g. Pedro Lopéz Jiménez, Member of the Board of Directors of ACS and Member of ACS’s Executive Committee, Director of ACS Servicios y Concesiones, Vice Chairman of Dragados h. José Luis del Valle Pérez, Member of the Board of Directors and Secretary General of ACS An ACS spokesperson comments: “With four representatives from ACS, one from Qatar and three independent candidates, we have made a well-balanced proposal. We are confident that the shareholders will support this.” Short biographies of the candidates Manfred Wennemer Manfred Wennemer (63) was Chief Executive Officer of Continental AG from 2001 until August 2008. Previously, he held several international management positions in companies and business units belonging to the Freudenberg Group in Germany, South Africa and North America. Overall, Mr. Wennemer has 30 years of experience in the manufacturing industry. He holds several advisory and supervisory board positions for German and international companies. In addition to the HOCHTIEF mandate, he is a member of the supervisory boards of Allianz Deutschland AG and Knorr-Bremse AG and Chairman of the board of KION Group GmbH. He is also a board member in various international companies, including Charter International plc and Springer Science + Business Media SA, where he also holds the Chairman position. Abdulla Abdulaziz Turki Al-Subaie Abdulla Abdulaziz Turki Al-Subaie (36) is Managing Director and Board Member of Qatar Railways. He was previously CEO and Board Director of the construction materials company SMEET W.L.L. Prior to that, Mr. Al-Subaie worked for more than 12 years as an electrical power engineer in the power industry, where he held various senior positions with the Qatar General Electricity & Water Corporation (Kahramaa). Mr. Al-Subaie had started his career working for the Ministry of Electricity and Water of Qatar, where he began as Electrical Engineer and later held the position of Head of System Control. Thomas Eichelmann Thomas Eichelmann (45) is CEO of ATON GmbH in Munich. ATON is one of the large family-owned holding companies in Germany with more than ten significant participations, revenues in excess of EURO 1.7 billion and more than 14,000 employees. Before becoming CEO of ATON GmbH in February 2010, Thomas Eichelmann was CFO of Deutsche Börse AG. His prior background is in business consulting. Stages of his career are The Boston Consulting Group, Bain & Company and Roland Berger Strategy Consultants, where he was a Member of the Global Executive Committee. Moreover, Mr. Eichelmann is Deputy Chairman of V-Bank, a bank for Independent Financial Advisers (IFAs). Eggert Voscherau Eggert Voscherau (67) has been Chairman of the Supervisory Board of BASF since 2009. In the course of his career, Eggert Voscherau held numerous management positions at BASF in Germany, South America and the United States. From 1996 to 2008 he was a member of the management board of BASF. Moreover, Mr Voscherau is president of the German Chemicals Employers Association (BAVC) and vice president of the German Employers Association (BDA). Angel García Altozano Angel García Altozano (61) is Corporate General Manager of ACS. Prior to joining ACS in 1997, he was General Manager of INI, the Spanish state industrial holding, and President of Bankers Trust in Spain and Portugal. He joined ACS Group in 1997 and is in charge of the economic-financial areas, corporate development and affiliates. Moreover, he is Chairman of YOIGO as well as Board Member of ABERTIS, Saba and of different subsidiaries of ACS Group. He is currently represented on the Supervisory Board of HOCHTIEF. Marcelino Fernández Verdes Marcelino Fernández Verdes (55) is the Chairman and CEO of the Construction and Concessions and Environment Areas of ACS Group. Mr Fernández joined the Group in 1987 and was appointed General Manager in 1994. In 1998 he became the CEO of ACS Proyectos, Obras y Construcciones, S.A., and in 2000 was appointed Chairman of the company. He is the Chairman and CEO of Dragados and ACS Servicios y Concesiones. He is currently represented on the Supervisory Board of HOCHTIEF. Pedro Lopéz Jiménez Pedro Lopéz Jiménez (68) is also a member of the Board of Directors of ACS and member of the Executive Committee of the board. He is a Director of ACS Servicios y Concesiones and Vice Chairman of Dragados. Stages of his career include Secretary at the Ministry of Public Works and Urban Planning, Member of the Board of Instituto Nacional de Industria and Board Member and General Manager of Empresarios Agrupados, involving Engineering and Construction for the Almaraz, Cofrentes, Trillo and Valdecaballeros, Nuclear Power Stations and numerous conventional Thermal Power Stations, as well as Construction Director for Thermal Power Stations for Hidroeléctrica Española. José Luis del Valle Pérez José Luis del Valle Pérez (60), lawyer, has been a member of the Board of Directors of ACS and Secretary General of ACS Group as well as Board Member of different subsidiaries of ACS since 1989. He previously held positions as Member of The Spanish Parliament in the First Democratic Legislature, Deputy Minister at the Spanish Ministry for Territorial Administration and Board member of different companies. Mr del Valle Pérez also serves as a Member of the Boards of Directors of Spanish highway construction company Iberpistas and Saba Aparcamientos, S.A., both companies of the infrastructure Abertis Group.
